  • SAAS / Software Licensing Attorney

    We are actively looking for SaaS/software licensing attorneys for temporary long-term engagements with several of our clients.

    Qualifications:

    • 3+ years of experience drafting and negotiating SaaS and software licenses and commercial contracts
    • Prior large law firm and in-house experience with a cloud-based/internet software company preferred
    • Experience working directly with business/sales teams
    • A collaborative, “can do” attitude and responsive, clear communication style.

  • Product Counsel

    We are actively looking for product counsel attorneys for temporary long-term engagements with several of our clients.

    Responsibilities:

    • Provide business advice and counseling to Product Management and Engineering teams from initial product development through and past launch
    • Advise internal teams to minimize risk while balancing business interests
    • Draft and negotiate a broad range of commercial and licensing agreements
    • Remain current on applicable international laws and regulations surrounding IP, privacy, content regulation, and consumer protection.

    Qualifications:

    • 5+ years of relevant experience
    • Prior product counseling experience with a technology company
    • Prior experience in copyright, privacy, advertising law, or content regulation is helpful
    • A collaborative, “can do” attitude and responsive, clear communication style.

  • Content Licensing Attorney

    We are actively looking for content licensing attorneys for temporary long-term engagements with several of our clients. The ideal attorney will have 5+ years of experience with the following:

    • Contract drafting and negotiation for entertainment content – music, film, television, video games, etc.
    • Production, licensing, partnership, and distribution agreements for digital and traditional media
    • Copyright and media law
    • Rights dispute resolution
    • Website privacy and compliance documents.

  • Marketing and Advertising Attorney

    We are actively looking for marketing and advertising attorneys for temporary long-term engagements with several of our clients. Ideal candidates will have at least 5+ years of legal experience in the digital media, advertising, entertainment, and/or social media space with:

    • Drafting contest and sweepstakes rules, sponsorships, joint promotion, and coupon offers
    • Online advertising and digital marketing, including display and banner ads, targeting, and insertion orders
    • Preparing templates related to display advertising, search marketing/optimization, ad targeting and re-targeting, web and search analytics, and ad networks
    • Negotiating MSAs, SOWs, content and merchandise licensing agreements, and general commercial transactions
    • Providing general legal support to marketing and advertising teams
    • A strong working knowledge of IAB terms, trademark and copyright protection, data and privacy issues, false advertising, consumer protection, and other relevant laws and regulations.

  • Employment Counsel

    We are actively looking for labor and employment attorneys for temporary long-term engagements with several of our clients.

    Responsibilities/qualifications:

    • Provide legal advice on full gamut of employment law matters, including hiring and termination, wage and hour rules, disability accommodation, family and medical leave, harassment and discrimination, employee privacy, performance management, contingent worker rules, restrictive covenants, and employee investigations
    • Create, update, and implement employment handbooks and other workforce-related policies
    • Assess and handle pre-litigation employment claims, administrative proceedings, and litigation in consult with outside litigation counsel
    • Strong command of Federal and state (especially California, New York, and/or Washington) labor and employment law
    • Ability to think strategically and creatively while providing practical counsel to HR and business

  • Privacy Counsel

    We are actively looking for privacy attorneys for temporary long-term engagements with several of our clients. The ideal candidate will have significant privacy experience, particularly supporting technology companies with:

    • Counseling business partners on domestic and international privacy laws (e.g., GDPR, CCPA, HIPAA), regulations, and industry best practices
    • Drafting and negotiating B2B and B2C contracts and disclosures, including privacy policies, TOS, and EULAs
    • Ensuring that privacy matters are incorporated at the design stage into all products and ensuring compliance with privacy policies and procedures
    • Supporting sales and procurement teams in reviewing and negotiating privacy and security contractual provisions as necessary, including remediation of existing contracts
    • Drafting and implementing security breach response plans
    • Designing and training internal staff on privacy and compliance policies

  • Technology Transactions Attorney, Hardware

    We are actively looking for technology transactions attorneys for temporary long-term engagements with several of our clients. The ideal candidate will have 3+ years of experience drafting, negotiating, and reviewing various manufacture and supply agreements, component purchase agreements, consultant agreements, and distribution agreements. A deep understanding of supply chain management, warranty, delivery, warehousing, and IP ownership issues is key, as is experience working directly with sales teams.

  • M & A Attorney

    We are actively looking for M&A attorneys for temporary long-term engagements with several of our clients. Experience in the following areas is key:

    • Advising on the full lifecycle of merger and acquisition transactions, from initial structuring and letter of intent, through due diligence, deal structuring, and closing
    • Working with internal teams and outside counsel to manage IP, securities, employment benefits, tax, and other corporate matters impacting M&A deals
    • Preparing and reviewing disclosure schedules, tracking diligence materials, and creating and updating supplemental request lists
    • Handling contract negotiations and integration and transition service agreements
    • Drafting term sheets and other preliminary documentation
    • Managing regulatory filings and approvals, closing preparation, and post-closing integration
